Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SAVX mobile application, the getsavx.ca website, and related services (the "Service") provided by ROCA Technologies Inc. ("SAVX", "we", "us").

By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility

To use SAVX, you must:

• Be at least 13 years of age (users under 18 must have a parent or guardian who agrees to these Terms on their behalf).
• Have the legal capacity to enter into a binding agreement.
• Use the Service only for lawful purposes.

We reserve the right to refuse service to any user at our discretion.

2. Your Account

2.1 Creation

To use most features, you create an account by providing an email address and phone number (verified via SMS). You are responsible for maintaining the confidentiality of your account credentials.

2.2 Responsibility

You are responsible for all activity on your account. If you suspect unauthorized access, contact us immediately at support@getsavx.ca.

2.3 Accuracy

You agree to provide accurate information and keep it updated.

3. Subscription Tiers

SAVX offers three tiers:

• The List (Free) — Core features including flyer browsing, 2 recipe scans per month, manual lists, barcode scanner, watchlist alerts, and gas prices.
• Saver ($6.99 CAD/month) — Everything in Free plus unlimited recipe scans, AI deal matching, price match flagging, 3 saved lists, and advanced recommendations.
• Pro ($11.99 CAD/month) — Everything in Saver plus multi-store trip routing, weekly AI digest, unlimited saved lists, and household sharing (up to 4 members).

3.1 Free Trial

New users may receive a 7-day free trial of Pro. After the trial, you will be charged the Pro rate unless you cancel before the trial ends.

3.2 Billing and Renewal

• Subscriptions are billed in advance through the Google Play Store (and Apple App Store in the future), processed via RevenueCat.
• Subscriptions auto-renew at the end of each billing period unless canceled.
• Cancel anytime in your Play Store subscription settings. Cancellation takes effect at the end of the current billing period.

3.3 Refunds

Refunds are handled according to the Google Play Store refund policy. We generally do not issue refunds for partial months, but we consider exceptions in good faith for extenuating circumstances.

3.4 Price Changes

We may change subscription prices. Existing subscribers will be notified at least 30 days before a price change takes effect. If you disagree, you may cancel before the new price applies.

4. Your Use of the Service

4.1 Permitted Use

You may use SAVX for personal, non-commercial grocery planning and savings purposes.

4.2 Prohibited Use

You agree NOT to:

• Reverse engineer, decompile, or attempt to extract source code from SAVX.
• Use automated tools, bots, or scrapers to interact with the Service.
• Scrape, harvest, or aggregate data from SAVX for resale or redistribution.
• Create multiple accounts to circumvent referral programs or subscription limits.
• Interfere with the Service's operation (including denial-of-service attempts, excessive API calls, or security probing).
• Use the Service to violate any law, including data protection, intellectual property, and consumer protection laws.
• Share your account credentials with anyone outside your household.
• Misrepresent your identity, affiliation, or the source of any content you submit.
• Use the Service in a way that harms or could harm other users, SAVX, or third parties.

4.3 Consequences

Violation of these rules may result in account suspension, termination, and forfeiture of subscription fees without refund.

5. Deal Information and Accuracy

5.1 Data Sources

SAVX aggregates publicly-available flyer, coupon, and pricing information from Canadian grocery retailers. Data is sourced from retailer websites, public APIs, and partner services.

5.2 Not a Guarantee

Prices, deals, and availability may change between when we aggregate data and when you shop. We do not guarantee:

• That any specific price will be honored at checkout.
• That any flyer item will be in stock.
• That any coupon will be accepted by a cashier.

5.3 No Retailer Affiliation

SAVX is NOT affiliated with, endorsed by, or partnered with any retailer unless explicitly stated in the app. Retailer trademarks, logos, and brand names remain the property of their respective owners. We reference them only to identify the source of pricing information.

5.4 Verification

We recommend you verify prices and coupon validity at the retailer before checkout. Any disputes over pricing are between you and the retailer.

6. Intellectual Property

6.1 Our Content

SAVX's software, design, branding, logo, and original content are owned by ROCA Technologies Inc. and protected by Canadian and international intellectual property laws. You may not copy, modify, or distribute any part of SAVX without written permission.

6.2 Third-Party Content

Retailer content (flyer images, prices, product descriptions) remains the intellectual property of the respective retailers. Our use of this content is limited to educational and consumer-informational purposes under fair dealing principles.

6.3 User Content

Content you submit (grocery lists, recipes, notes) remains yours. By submitting content, you grant SAVX a worldwide, non-exclusive, royalty-free license to use that content solely for operating and improving the Service.

6.4 Takedown

If you believe content in SAVX infringes your copyright or trademark, email takedowns@getsavx.ca with the following:

• Your identity and contact information
• The specific content at issue
• Why you believe it infringes
• A good faith statement that you are authorized to make the claim

We respond to valid takedown requests within 30 days.

7. Disclaimers

8. Limitation of Liability

To the maximum extent permitted by Canadian law:

• ROCA Technologies Inc. is not liable for indirect, incidental, consequential, or punitive damages arising from your use of the Service.
• Our total aggregate liability to you for any claim arising from the Service shall not exceed the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) $100 CAD.
• We are not liable for prices being different at checkout, items being unavailable, coupons being rejected, or any transaction disputes with retailers.
• We are not liable for third-party services (Supabase, RevenueCat, Google, etc.) operating outside our control.

9. Indemnification

You agree to defend and indemnify ROCA Technologies Inc. against any claims, damages, or expenses arising from:

• Your misuse of the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Content you submit to the Service

10. Termination

10.1 By You

You may terminate your account at any time in app settings or by emailing support@getsavx.ca. Termination does not refund paid subscription periods already billed.

10.2 By Us

We may suspend or terminate your account immediately if you violate these Terms, engage in fraud or abuse, or use the Service in a manner that harms SAVX or other users. We will generally attempt to notify you of termination, but we reserve the right to terminate without notice in cases of severe violation.

10.3 Effect of Termination

Upon termination, your access to the Service ceases. Your data is deleted per our Privacy Policy retention schedule.

11. Changes to These Terms

We may update these Terms periodically. Material changes will be communicated via in-app notification or email at least 30 days before taking effect. Your continued use of SAVX after changes take effect constitutes acceptance.

12. Governing Law and Dispute Resolution

12.1 Jurisdiction

These Terms are governed by the laws of the Province of Ontario, Canada, and applicable federal laws of Canada.

12.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service will first be attempted to be resolved through direct negotiation. If that fails, disputes will be resolved in the courts of Ontario, Canada.

13. General

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and ROCA Technologies Inc. regarding the Service.

13.2 Severability

If any provision is found unenforceable, the remaining provisions remain in effect.

13.3 No Waiver

Our failure to enforce any provision does not waive our right to enforce it later.
